Giovanni has his knife-bat, and he has 0 hits on his counter

Steve has his bat as well.

Both are in-character, and speed is equal. The fight takes place in an old warehouse.

Starting Giovanni off with a critical 13 sounds a touch unfair. Even without that I reckon Giovanni could take the win. Lava Grenade gives Giovanni strong ranged attacks that also help him build up his critical 13, teleports behind you would let him get the jump on Steve for any close-quarters attacks, and Giovanni would better be able to take Steve's attacks than Steve could for Giovanni's.

For all of those reasons, Giovanni wins.

Would saying he starts off with 0 hits on his counter make it more even?
