Random encounter, no preparation time (so Midnight can't use Personification Magic), Midnigt have no Klodoa nor Magic Carpet.

In my opinion it would be inconclusive as Edward can't damage Midnight while Midnight can't aim any attack directly on masively faster opponent (he has illusions but they are nowhere as effective as typical illusions as they are light-based not mind-based)
