I asume capitan america can't use his shield. Soldier should win because he has range speed and mobility advantage. (We equalized normal moment speed wich doesn't include rocket jumps). The only adcantage capitan has is his stealth but i don't think it should be a problem for soldier since he should know how to deal with spies. Cap's hand-to-hand skills won't save him from rockets and bullets.

If Cap has no shield should Soldier have rockets?

It's mostly irrelevant anyway, isn't it? However you stack this, Soldier should have an easy time of the fight even if Cap has his shield, presuming speed isn't equalized. If it IS equalized, Cap with the shield wins for obvious reasons, whereas Soldier still easily wins with speed equalized and no shield.
