Baki heard the news of his father defeating the legendary martial artist, Bang who was later revealed to be the sensei of the ma who defeated him in hand to hand combat. Worried that the gap between him and his father is widening, Baki sets out with a renewed vigor to become stronger and defeat the Human Monster who bested him. While on his search, he comes across a rather rude young ma who is also looking for a rematch with the Hero Hunter. Taking an issue with the bat wielder's attitude and cross demeanor, Baki challenges the man to a fight, looking to test his strength.

So Baki's actual martial arts training is gonna be his biggest advantage here. Metal Bat's basically just a thug, swinging his bat almost randomly. That being said, Metal Bat almost beat Garou, another skilled and trained fighter. Metal Bat's best advantage is his damage boost, that is him getting stronger the more damage he takes. I'm gonna give this to Metal Bat for that. He'll be getting stronger as the fight goes on, whereas Baki will not.

Baki has a huge inital AP advantage on top of his Martial Arts though. Once Baki figures out that Bat gets stronger the harder he's hit, he'll probably go for an incap like tying him up with nearby rope. And he has a big enough advantage to probably figure this out before getting oneshot.

Baki also is pretty well versed in grappling, and could potentially use his equal lifting strength to get MB in choke hold

True, and I took that into account while thinking about it. I still think MB has the better chance here.

It might be possible for MB to fake being choked out I think? He did fake his 'defeat' at Garou initially and was about to OHKO him into pieces.

But yeah grappling would be very good. But then again it might be possible that MB can get stronger with lifting strength too. Possible I say. Not sure who to vote for yet. Leaning on a tie.

Baki sheer skill advantage is gonna equalize the fact that Metal Bat has the dura and strength advantage in this fight. That being said Metal Bat's strength was huge enough to even make Garou another skilled opponent that even when Garou tried to deflect Metal Bat's savage tornado it made his hands shake from the sheer force of each diverted blow.

Metal Bat's base form even without fighting spirit was able to tank attacks from Carnage Kabuto while in his Carnage Mode for about 3 minutes, and Carnage Kabuto in said form was able to match a serious Superalloy Darkshine for about 15 minutes and we all know how strong Superalloy is. So his dura shouldn't be any weaker than that either way.

Also, Metal Bat's fighting spirit doesn't require just him taking damage but also him getting angrier throughout the fight. So Baki trying to grapple him isn't going to stop the stat amping from happening, in fact, I would say that would get him even more pissed which leads to him getting stronger.

We have seen how metal vat is against actual martial arts techniques and baki has his pre cognition, endorphines. And all of his techniques whip of Mercury would work on metal bat i could also see him using theight speed jab as well, baki technically won against oliva who was able to effect the entire planet, by using his physical strength alone at full powe and baki managed to win q close oneagainst him, so all tho bat had a like pretty much q could go either way fight with garou, it would probably be the same here for a while. Not to mention baki seems to have higher A.P but remember the amp both his aura and demon back give him if metal bat does surpass him in strength baki would just close the gap using his aura and if needed the demon back in which would probably surpass metal bat for the time being. Also we can't forget, about bakis imagination to turn it to reality in battle it was better shown against pickle, wheree he basically combined all the aninal styles together in order to hit with the force of all of them combined.
