You gave Scrooge all of his equipment, which includes stuff that messes with inertia, luck manipulation, intangibility, memory manipulation, time stop, matter manipulation, durability negation, dimensional storage, and resistance to electricity and transmutation...and you only gave NC his pistol and no other equipment. Plus Scrooge is smarter. So I'd probably go with him.

Nvm, I gotta give it to Critic. He has Plot Manipulation, Time manipulation, Matter manipulation, and Subjective Reality. He can shapeshift (Which negates Scooge's Transmutation), change his size, has Non Physical Interaction to counter Scrooge's intangibility. The Intelligence gap isn't massive, and even if Scrooge tears Critic apart on a molecular level, Critic was Low-Godly regen, so that wouldn't really work...
