- This fight takes place in the sky.

- Yes, Shazam is smart, but due to him being a child, I'm calling him "Brawn"


Ultron is flying across the city

"What could I do today? Hmmmm. Oh, I know, I'll kill that disgusting Human once and for all."

Billy: "Shazam!"

Ultro: "I hate children."

Billy: "You hate muscular men?"

Ultro: "Oh, dear. Thor, buddy, you look different."

Billy: "I will not allow you to kill anyone."

Ultro: "Kill? No, there's been a misunderstanding..."

Ultron opens fire on Shazam.

That barely hurt him? What are the chances?

Billy: "Your treachery ends now, tyrant!"

Ultro: "Harsh... I thought we were friends, Thor Odinson."

Ultron via intellect and versitality, I think it would go with Billy completley overpowering at first but with Ultrons abilities and his analyzation I think we have our victor
 
If I have this right, the accepted AP value for Shazam should be around 390 Foe, while Ultron-20 would be somewhere above 388 Foe due to knocking out Adam Warlock, who knocked out the Silver Surfer, who's at this level. So, in AP, they're basically neck-and-neck, with Ultron probably being superior by some margin as well.

In durability, 388 Foe cannot even scratch any Adamantium-covered Ultron, since Thor has consistency had difficulty ever denting that shell, and he once again scales from the Surfer. Ultron takes this easily.

In terms of intelligence and endurance, there is no comparison. Ultron roflstomps in those departments.

Over all, Ultron takes this mid-diff. Even if his myriad of hax isn't enough to rip Shazam a new one (fairly certain his page is missing a few resistances, could be wrong about that though), Ultron wins via sheer attrition and/or figuring out a strategy to kill him. Furthermore, Ultron can kill Billy eventually. Billy cannot, as he has no way to put Ultron down permanently.
