Ultear loses badly. Her luminous minute might do the trick, since it one-hit KO'd Zeref, but Esdeath's not likely to just stand there and take it. Ultear's range is limited + she just gets demolished in close quarters. Hell, if push comes to shove and all of Esdeath's ice hits DO get vaporized, and she IS kept at a certain range by the orbs, she can just throw her sword.
