Thanos curbstomps. Unless this fight is written by Brian Michael Bendis, the destroyer of continuity and scaling. Then Carol uses her uber girlpower to punch him out.

But for real, Thanos wrecks her so hard. Silver Surfer is a much more powerful solar system-level than she is and Thanos no-sells his blasts and casually beats him near death with his bare hands. He'd do much worse to Carol. Or he mindfucks. And in case someone says she drains his energy, he also has energy drain capability. I don't think she'd even get past one layer of his shields.
