Questions regarding Clod of Darkness and Neo Exdeath

Cloud of Darkness is 2C while Exdeath is Low2C to possibly 2C despite having the same powers, what makes CoD stronger then Exdeath(disregarding the fact that Exdeath controls her)

Also, how is Exdeath omnipresent while CoD isn't?
