Punisher is stronger, has arguably more lethal weapons, more durable, and has less weaknesses.

However, the Joker is an insane genius which would work to his advantage due to prep. Also, his unpredictability will work against the Punisher's prep and alot of his fighting skills.

Therefore, with enough luck, Joker may win.
