I think you could've been a bit more specific about Phineas getting prep time here.

If Phineas has all of his gadgets mixed into one suit, then Kirby would be at a HUGE disadvantage, as he constantly has to switch between copy abilities, so he won't be able to deal with the gap between tiers, precognition, and matter manipulation all at once.

However, if Phineas has them all as separate handheld gadgets, I'd give it to Kirby, since Phineas would have that same disadvantage, and Kirby would have a bunch of new advantages that open up. He'd have a much easier time landing his hax, and could always just inhale the gadgets.

To address the elephant in the room, the Tier gap isn't really going to be a factor here since they both possess quite a bit of hax, and it's not that big to begin with. Kirby is almost on the level of Phineas' gadgets, but not quite.

I'm gonna need you to be a bit more specific to be sure, but I'm assuming you meant the latter scenario, so I'm going with Kirby. He'd probably take it with mid-difficulty.
 
Then Kirby's going to have a disadvantage here, as I've mentioned above. He's going to have to constantly switch between copy abilities while Phineas already has all of his powers merged into one suit. Kirby will have to deal with precognition, the tier gap, and somehow play around matter manipulation all at once, all while Phineas is repeatedly throwing galaxy-busting attacks at him.

However, Kirby has a counter to any lethal form of hax Phineas can throw at him (Resists Reality Warping and Spatial Manipulation, Ghost Kirby likely doesn't have matter and thus supposedly resists Matter Manipulation as well) while Phineas doesn't have a surefire way to counter Transmutation, Time Manipulation, Void Manipulation, or Information Manipulation. Plus there's no telling that Kirby wouldn't catch Phineas off guard and inhale him up, either.

Phineas would probably just overpower and one-shot Kirby if he tries anything else, though.

I'm leaning more towards Kirby, but either way it could easily be a toss-up. All Phineas has to do is land one hit and he wins, while Kirby still has plenty of ways to bypass the gap in attack potency and durability and dispatch of Phineas quickly.

However Kirby has speed augmentation, which would likely allow him to get his hits in first. So I'm giving it to Kirby with high difficulty.
 
Standard Battle Assumptions says that they're in character, but willing to kill. That's why I didn't factor that in.
 
Makes more sense for Phineus to have them separate, Kirby for reasons above.
