Both seem to be equal in skill.
However, Carmen's SoL reaction speed will allow her to dodge most if not all of Chisato's attacks. In addition, Carmen's Class 5 LS will allow her to both restrain Chisato and negate the latter's restraining tools. Finally, Carmen's stealth will allow her to gain a huge advantage against Chisato.
Overall, I'm voting Carmen.
