He's somewhat more powerful, has Low-High Regen, Intangibility, and Paralysis Inducement

Dark Gaia. He's more likely to take advantage of Chaos' weak point than vice versa since he has several defenses in place to guard against it. Not only that, but Chaos has no experience fighting someone his size, while Dark Gaia does.
