Well, Cell has:

+ ki sensing rendering Tez's invisibility useless

+ reactive ki and zenkai boosts, allowing him to potentially become stronger during the battle and even absorb Tez

+ hand-to-hand combat experience

Tezcatlipoca has:

+- transmutation hax, but we don't know whether that would work on Cell

+- empathy manip hax, but we don't know whether that would work on Cell

+ darkness manip, in a scenario if he somehow injures Cell but Cell decides to use Solar Flare, limiting his options

+ potentially higher stats (if he scales to Quetzalcoatl who scales way above Mixcoatl who destroyed 400 Solarises)

I guess Tez has more ways to win so I'm voting him so far, but maybe we should find a calc for IC's AP to be sure.
