They both have psychic powers and they are/were black at some point.

Speed is equal, battle takes place in ultra space. Ultra Necrozma starts off as, well, Ultra Necrozma.

Who wins and why?

Mace Windu:

Necrozma:

Necrozma doesn't exactly rely on dark type moves, and isn't dark/evil himself, so idk
 
Necrozma is not a Dark type, doesn't rely on Dark moves and does not uses rage / anger / hatred to fight, so Vaapad can not be used to cover the AP gap. Voting inconclusive, either Necrozma waves his hands and Mace is vaporized, or Mace mindhaxes.
 
Mace doesn't start with Mindhax. At least, not that I know of. He's primary way of fighting is Vaapad and telekinetic blasts (see his army fight in the old Clone Wars tv show).
 
Does he do stuff with Shatterpoints like Cade? I haven't read the Shatterpoint novel, but if he does, then he could likely take this. I mean, the reopening wounds stuff is quite strong.

He has never been portrayed as comparable with it to Yoda or Palpatine and couldn't even mindhax a bounty hunter on his own. He has the resistance though.
