Uh... Zero blitzes both rounds. Hard.
Round 1: Dark Hold (Time Stop) Zero walks over and annihilates Cell with a Tenshouha or a Genmurei.
Round 2: Just plain all around faster.
Seriously, you need Super Perfect Cell (which lasted all of thirty seconds) to keep this from being a complete and utter stomp. Still, Zero has more than enough time to simply freeze Cell in place before firing off enough Genmureis to finish him.
