First of all, don't dismiss Gintama as just a comedy & parody series, especially in the same breath as mentioning UTSURO!

Utsuro was able to fend of the entirety of the Shinsengumi, Yato clan & Gintoki (and the Joi 4) without any assistance. That's without even mentioning his immortality! If you saw his fight with Umibouzu (& Kamui), his body was cut in half (materialised at that) and his heart was crushed. He regenerated immediately!

It is also worth mentioning that neither Utsuro or Meltlilith age, which indicates that they will both be at their peak at all times. The one difference that immediately stops Meltlilith from gaining any advantage of Utsuro is his immortality, which is powered by Altana. And it is known that his Regenerationn cannot be negated by anything besides Sadaharu.

As well as this, Utsuro has clairvoyance which prevents his attacks from being read. Winner is Utsuro for me, although it would be a long evenly-matched battle.

If she absorbs Utsuro, then Utsuro would be able to control her mind through passing his knowledge of immortality. He would ultimately regenerate too, as Altana would cause him to rebirth since he can recreate himself whenever he feels like it. Unless she can somehow find Sadaharu, the odds are heavily stacked against her.
