Depends on who gets their Trump Card out first.

Gin will easily take this once Kamishini no Yari comes out, but he won't be able to do a thing once Kenshiro activates Muso Tensei.
 
Now I jsut read gins profile, gotta say tough opponent as usual, like reppuzan says if he likes out his move Kens life will be over, however i think Ken wins on the ground that if Ken is actually bloodlusted he won't hesitate at all to immediately activate Museo tensei or use his aura to hit gin from a mile away without gin even realizing it.

For one thing, gin does not know about Kens deadly hax and their are techniques that hit pressure points regardless if you are blocking (tenha kassatsu and Raohs go no Ken) ken Main advantage in this fight is his incredible variety of hax and incredibly combat skill and precog, Kenshiro is very familiar with cellular level attacks, in fact he has tanked it before,

the one problem gin has to go up to touch Ken to use this move, that is a big no no, since one, Ken would most likely have finished him with any of his broken haxes like Hokuto Shinken, gento, and MT(he has used it on random fodder because he was actually very pissed.)

gins one good advantage (besides a strong hax) is his strength, and I dont think thats enough, considering Ken doesn't waste time on opponents and goes straight for the kill, especially when bloodlusted. I give this too Ken Mid difficulty becasue gins hax needs him to touch Ken which he won't(alithough if it has range this could pose a problem but when Ken see him glow and stuff, he'd most likely go into defensive and subconsciously use Amat for safety and precog helps to predict this as well.)

Ken has the more variety of hax he can use, and has several dozens of attacks with good range. And overalls I believe is the more skilled fighter. Gins intellect and strength will get him far, but I don't see him gaining the victory.
 
Depending on how far I say Gin takes with ease. If it's out of Ken's range Gin wins. He'll probably feint Ken with his Bankai's long range. Then he will use Hakufuku allowing him to use his Korose, Kamishini no Yari to kill Ken so that he won't regen. It's it's at close range Gin can easily teleport away with Sentan Hakuja and act out the prior with slight to mid difficult depending on range. Please specify the range. Gin's range is much greater than Ken's let's say if Ken's furthest range were 540 meters Gin's would still be over 24 times further at 13KM and that's giving a generous assumption. If it were speed not equalized I say Ken wins.
 
Ken won't be able to take many of Gin's attacks and he's at city level so his normal attacks alone are capable of killing, on top of that he's got teleportation, on the other hand, we have MT Ken, but then there's also Gin's Bankai which was also said to amp his abilities. Gin with high difficulty in that case.
