Megatron easily takes this. Dude has better manueverbility, and can fly, meaning he'd be able to consistently attack Lockdown at a range. Lockdown's face gun could do substantial damage, but really, it only did so effective against Optimus, because he was off guard and injured. Megatron can easily dodge the shots. Megatron's AP is also much better, being able to overpower Optimus with one arm while Lockdown was fairly on par with Optimus for the most part
