Voting Mewtwo
It has Slightly Higher AP, Smarter, more Skilled and Have More abilities.
Mewtwo can increase its AP and DURA with Calm Mind, stops Zatanna from using certain Spells (With Disable and Taunt), and can outlast Zatanna (With Recover)
While Zatanna has some tricky Abilities (and you could make an Argument that she is Stronger Physically), it's nothing Mewtwo didn't fight or has experienced before.
So, In Short Mewtwo's Abilities, Higher Intelligence and Experience would give it the win here.

It would also be fair to say that Zatanna's base AP is inferior to herself when using Dark Magic and her amped Light Magic. When she fought the embodiment of her Dark Magic, none of her attacks could make a dent in it and her forcefields were just barely holding on and needed an emotional boost to amp her light magic enough to stop it. So it would be fair to say she should have a severely higher AP when facing Mewtwo if she does go dark or amp up her light magic with negative or powerful emotions.

Zee can also negate spells with her amped light magic, and it's also fair to say that she has demonstrated EE on several occasions, which only take a beam to hit on contact. I wouldn't underestimate her as she has a lot of wincons as well.
