Nightwolf attacks, Dio freezes, Nightwolf nukes himself and Dio, or only the latter.

Alternatively, Dio uses his eye beams, Nightwolf dodges or reflects them right at Dio. Also alternatively, Dio mindhaxes, except he doesn't due to being out of character.

So Nightwolf takes this on more occasions via skills and versatility. I didn't consider AP but if it's nothing major then I vote Nightwolf.

Nightwolf has a significant but not one-shot worthy AP advantage (around 4-5X), so coupled with the above points, I suppose Nightwolf takes it handily.

He'd likely go for Ancestral Light if his attacks don't seem to work on his regen, plus he has some better range options such as lightning attacks which is IC and can likely counter SRSE with his reflector move which also allows him to teleport.

Him being frozen would be unlikely since Nightwolf being out of melee range means that he'll resort to ranged attacks (such as lightning bolts, throwing tomahawks infused with lightning, arrows, etc) first until he gets close enough. He still has AP, versatility and skill over him
