Attack Potency:

Death Egg Robot scales to 162.7 yottatons (5-A)

E-99 scales to 2.64 yottatons (5-B+)

Speed:

Death Egg Robot's combat speed scales to 2.129 c, however, its movement speed is only classified as Superhuman

E-99 massively speed blitzes 1.458 c, to the point that anyone with this speed value is unable to see its movements, even accross large distances

Lifting Strenght:

Death Egg Robot upscales from 8.3765359e+5 kg (Class K)
E-99 upscales from 67,821,048,900,000 kg (Class T)

Battle takes place in the exact same location where the Eggsterminator fought Sonic.

Thanks to the huge lifting strenght advantage and the location of the fight, it could hypothetically hold it down underwater and drown it just like it tried to do against Sonic. It may not seem like such a primitive plan should work, but it has no reason not to (that I know of). It could also do damage over an extremely long period of time. It's not like stamina is an issue for either of them, but E-99 is the only one who canonically has an endless power suply.

The Eggrobot can't drown unless it gets destroyed and Eggman would be flooded so that's not an option. Pinning down someone isn't an incap by VSBW rules either. Besides if it tries to grapple it'd give Death Egg Robot more than enough room to one shot

That's the point. The Egg Walker isn't waterproof (it even fails to function in quicksand), so why would the DER be?

There's no water in Death Egg Zone, so this isn't any proof to either direction. It's an assumption more than anything

It is an assumption either way. It's just a matter of which one is more reasonable, and I'll let you debate that once other people show up if necessary, but in the meantime, it should be known that E-99 still has a win condition regardless. As per standard battle assumptions, if he yeets DER into the bottom of the ocean, he's not gonna be coming back to the surface for at least a day (due to his slow travel speed being slowed even further by the water and his rocket propulsion almost certainly not working when completely submerged) which counts as a win.
