CoC in Second Divine Crusader form, no previous knowledge and 50 meters starting distance.

Round 1: Speed unequalized.

Round 2: Speed equalized.

Hmmm...

Round 1: I think this can go either way. CoC has higher AP and Durability but Kharn has a highly redudant physiology, armor that can mitigate a lot of damage and 10 millennia worth of experience fighting virtually any kind of opponent. It doesn't help that CoC's magic will be useless against Kharn himself.

Round 2: Kharn, full stop. The Betrayer is just way too fast. Khrone's blessing will take care of any magic and once Kharn gets in close, he's going to just hack away at CoC.
