Thor (Marvel) V.S Nate Grey

The fact that Nate is comparable to Dark Phoenix (eats stars and is far stronger than Thor) and is equal to Full Potential Cable, who snuffs out stars for breakfast, should give him the win. Plus all that hax in Nate's profile and partial control over the Phoenix Force ... Omega mutants are terrifying.
 
Except that Nate spends the entirety of that series playing quite literally everyone else like a harp, and only loses because he misjudged the Green Goblin persona's capacity for rationality. Remember what that fight led to: Nate 'losing' and 'dying' allowed him to possess Norman Osborn. He intended to use Osborn's clout to reform the 50 State Initiative and support Scott, while also keeping open the option of breaking down Norman's mental defences and showing the world what he really was: the Green Goblin. But for a mistake on his part, it would have worked - and considering that Norman went nuts very shortly afterwards, going full Green Goblin in public, one could argue that Nate had the last laugh.

So. Why Ares? Because Ares was the only one of the Dark Avengers who Nate could plausibly lose to.
